ข้อบกพร่องสำคัญบางประการเกี่ยวกับร่างกฎหมายบริษัทจำกัดคนเดียว

Abstract

ร่างพระราชบัญญัติบริษัทคนเดี่ยวมีสาระสำคัญ มุ่งจำกัดความรับผิดของผู้ลงทุนคนเดียวในบริษัทให้มีแต่เพียงที่เขาได้ลงทุนไปในบริษัท ทั้งนี้เพื่อป้องกันมิให้ผู้ลงทุนต้องล้มละลายตามกิจการของบริษัท แต่ร่างพระราชบัญญัติยังมีข้อบกพร่องสำคัญสองประการ คือ ประการที่หนึ่งการจำกัดให้ผู้ลงทุนต้องถือสัญชาติไทยและประการที่สองผู้ลงทุนคนเดียวในบริษัทโดยหลักแล้วก่อตั้งบริษัทคนเดียวได้เพียงบริษัทเดียว ข้อบกพร่องทั้งสองทำลายภาพลักษณ์ของประเทศในการสร้างความสะดวกในการดำเนินธุรกิจ

The gist of the bill on one man company is to limit the liability of the sole investor to the amount invested by that investor. This is to prevent the investor from being bankrupt when mishap happens to the company. However, the bill still has at least two defects. First, the limitation that allows only a Thai national to form such a company. Second, the limitation on the number of such a company which an investor may form. Both defects make the country looks bad in term of ease of doing business.
